GENJU will use reasonable efforts to meet target lead\u2011times, yet shall not be liable for delays caused by supply\u2011chain disruptions, force\u2011majeure events, shipping\u2011carrier hold\u2011ups or actions by the Buyer.<\/li>\n\n\n\n<li>Unless another Incoterm\u00ae rule is agreed in writing, risk of loss and damage to equipment transfers to the Buyer upon hand\u2011over of goods to the nominated freight forwarder (EX\u2011Works, Incoterms\u202f2020).<\/li>\n\n\n\n<li>The Buyer shall be responsible for import permits, customs filings and compliance with local import regulations in the destination country.<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\">6. Acceptance, Warranty and After\u2011Sales<\/h2>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Upon equipment arrival, the Buyer shall inspect goods for visible damage or missing parts promptly. Written notice of outward damage must be submitted within 7 working days of receiving shipment.<\/li>\n\n\n\n<li>Standard warranty applies for the term defined in the formal quotation, covering manufacturing defects in materials and workmanship. The warranty does <strong>not<\/strong> cover:\n<ul class=\"wp-block-list\">\n<li>Consumable components including glove\u2011box butyl gloves, filters, sealing gaskets and purification\u2011system sorbent media;<\/li>\n\n\n\n<li>Damage caused by improper installation, incorrect operation, unauthorised modification, chemical corrosion, power\u2011supply faults or inadequate laboratory operating\u2011environment;<\/li>\n\n\n\n<li>Repairs performed by third\u2011party technicians without GENJU written authorisation.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>Warranty remedies are limited to repair or replacement of defective parts, at GENJU\u2019s discretion. Remote technical support is provided as standard; on\u2011site engineer visits incur separate travel\u2011related charges unless contractually included.<\/li>\n\n\n\n<li>This warranty replaces all other express or implied warranties permitted by applicable law, to the fullest permissible extent.<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\">7. Limitation of Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Subject to mandatory statutory law that cannot be contractually excluded:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>GENJU shall not be liable for indirect, consequential, special or incidental damages, including loss of research data, lost profit, production downtime or opportunity loss, arising out of or connected with website use or equipment supply.<\/li>\n\n\n\n<li>Our total aggregate liability under any sales contract shall not exceed the total contract value for the relevant order.<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\">8. Force Majeure<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Neither party shall be held responsible for delays or non\u2011performance arising from circumstances reasonably outside reasonable control. This includes natural disasters, war, sanctions, export\u2011control restrictions, factory\u2011site disruption, component\u2011supply failure, transport blockages or official\u2011government measures. The affected party shall notify the other side without unreasonable delay. Performance timelines will be extended accordingly. If force\u2011majeure conditions persist for more than 90\u202fconsecutive days, either party may terminate the pending order without further liability beyond returning pre\u2011payments for work not yet completed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Confidentiality<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Both parties shall keep confidential all non\u2011public technical specifications, project parameters, drawings, pricing and commercial information exchanged during enquiry and contract execution. Confidentiality obligations survive contract termination for three years. Information already publicly available, or required to be released by valid legal authority, is exempt from this clause.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">10.
